1. Acceptance of Terms

We provide software products and technical services including Shopify apps, Magento extensions, APIs, automation tools, and system integrations.

Our Services are strictly limited to technical functionality and software enablement. We do not provide business consulting, accounting, tax advisory, legal advisory, or regulatory compliance services.

3. No Tax, Legal, or Compliance Advice

Expound Coderz is not a tax advisor, accounting firm, legal advisor, or compliance service provider.

We do not provide advice related to taxation, financial reporting, legal compliance, or regulatory obligations (including VAT, GST, ZATCA, e-invoicing mandates, or government submissions).

You are solely responsible for:

• Consulting qualified tax, legal, and accounting professionals
• Verifying the accuracy of invoices, reports, and synced data
• Ensuring your business complies with all applicable laws and regulations

4. Third-Party Platforms & Services

Our Services integrate with third-party platforms such as Shopify, Magento, Zoho, payment gateways, and other external APIs. We are not affiliated with, endorsed by, or responsible for any third-party services.

We are not liable for:

• Platform outages or downtime
• API changes or feature deprecations
• Data loss caused by third parties
• Account suspensions or policy enforcement by third-party providers

5. User Responsibilities

You are responsible for maintaining backups, reviewing synced information, configuring settings correctly, ensuring platform compatibility, and controlling user access and credentials.

You agree not to misuse, copy, reverse engineer, or attempt to disrupt our Services.

6. Data Accuracy Disclaimer

We do not guarantee the accuracy, completeness, or reliability of financial, tax, inventory, or transactional data processed through third-party systems.

All outputs generated by our software must be independently reviewed and verified by you before business, financial, or regulatory use.

7. Payments, Subscriptions & Plan Changes

Prices, features, automation limits, and subscription plans are subject to change. We may modify, suspend, or discontinue any plan, feature, or functionality at any time.

Continued use of the Services after updates constitutes acceptance of the changes.

8. Refund Policy

Refunds are granted solely at our discretion and only where the product is demonstrably non-functional in a supported environment.

No refunds will be issued for:

• Misconfiguration
• Third-party platform limitations
• Regulatory or compliance requirements
• Change of mind
• Partial usage of services

9. Intellectual Property

All software, code, designs, documentation, and branding remain the exclusive intellectual property of Expound Coderz Private Limited.

You are granted a limited, non-transferable, non-exclusive license to use the Services for lawful business purposes only.

10. Support & Maintenance

Support is provided according to the plan or agreement you purchase. We do not guarantee uninterrupted service, immediate resolution, or compatibility with future third-party platform changes.

11. Service Suspension & Termination

We may suspend or terminate your access if you violate these Terms, your use creates legal or technical risk, required payments are not made, or third-party platform access is revoked.

12. Limitation of Liability

To the maximum extent permitted by law, Expound Coderz shall not be liable for any indirect, incidental, consequential, special, or financial damages including loss of profit, business, data, tax penalties, compliance fines, or service interruption.

Our total liability under any circumstance shall not exceed the amount paid by you to us in the preceding three (3) months.

13. Indemnification

You agree to indemnify and hold harmless Expound Coderz from claims, penalties, damages, or legal actions arising from your business operations, regulatory non-compliance, misuse of the Services, or third-party disputes.

14. Governing Law & Jurisdiction

These Terms shall be governed by the laws of India. Courts located in Madhya Pradesh, India shall have exclusive jurisdiction.

15. Updates to Terms

We may update these Terms at any time. Continued use of our Services after updates constitutes acceptance.
